1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the foundria.io website and the services provided by Foundria ("we", "us", or "our"). By accessing our website, submitting an inquiry, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. Our Services
Foundria provides digital growth and consulting services, including website design and development, AI implementation and automation, CRM and database engineering, search engine optimization, marketing automation, and digital infrastructure audits. The specific scope, deliverables, fees, and timelines for any engagement are defined in a separate written proposal, statement of work, or service agreement ("Engagement Agreement"). If these Terms conflict with an Engagement Agreement, the Engagement Agreement prevails.
3. Free Audits and Consultations
Free audits and consultations are provided for informational purposes only and do not constitute professional, legal, or financial advice. They do not create a client relationship or any obligation for either party to enter into a paid engagement.
4. Fees and Payment
- Fees, including setup fees and monthly retainers, are set out in your Engagement Agreement.
- Invoices are due as specified in your Engagement Agreement. Late payments may result in suspension of services.
- Pricing displayed on our website represents typical investment ranges and is subject to a custom quote.
- All fees are in Canadian or U.S. dollars as specified, plus applicable taxes.
5. Client Responsibilities
To deliver our services effectively, you agree to:
- Provide accurate, complete information and timely access to accounts, content, and personnel reasonably required.
- Hold the necessary rights to all materials (logos, copy, images, data) you provide to us.
- Review and approve deliverables within the timelines set in your Engagement Agreement.
- Use our deliverables in compliance with applicable laws and third-party platform policies.
6. Intellectual Property
- Upon full payment, you own the final deliverables created specifically for you under an Engagement Agreement, unless otherwise stated.
- We retain ownership of our pre-existing tools, frameworks, methodologies, templates, and know-how (including the Foundria Growth Stack), and grant you a license to use them as embedded in your deliverables.
- The Foundria name, logo, and website content are our property and may not be used without written permission.
7. Confidentiality
Each party agrees to keep the other's non-public business information confidential and to use it only for the purposes of the engagement. This obligation survives the end of any engagement.
8. No Guarantee of Results
Marketing, SEO, and growth outcomes depend on factors outside our control, including search engine algorithms, market conditions, competition, and your own business operations. While we apply proven methods and act in good faith, we do not guarantee specific rankings, traffic volumes, lead counts, or revenue outcomes unless expressly stated in an Engagement Agreement.
9. Limitation of Liability
To the maximum extent permitted by law, our total liability arising out of or related to our website or services shall not exceed the fees you paid to us in the three (3) months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption.
10. Indemnification
You agree to indemnify and hold us harmless from claims arising out of materials you provide to us, your breach of these Terms, or your unlawful use of our deliverables.
11. Termination
Either party may terminate an engagement in accordance with the notice provisions of the applicable Engagement Agreement. Fees for work performed up to the effective date of termination remain payable. We may suspend or terminate website access at any time for misuse.
12. Third-Party Services
Our services and website may rely on third-party platforms (e.g., Google, Calendly, CRM and hosting providers). We are not responsible for the availability, policies, or performance of third-party services. Your use of those services is governed by their own terms.
13. Privacy
Your use of our website is also governed by our Privacy Policy and Cookie Policy.
14. Governing Law
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Alberta, Canada.
15. Changes to These Terms
We may revise these Terms from time to time. Continued use of the website after changes are posted constitutes acceptance of the revised Terms.
